Management Agreement

I am writing to respond to your request for information received on 9th August 2020 which has been dealt with under the Freedom of Information Act 2000 (FOI).

Your request has been given the unique Information Request No. NPH00 1084/20.  Please quote this reference on all correspondence relating to this request.

You have requested the following information:

NPH may consider the Management Agreement between Northampton Borough Council and Northampton Partnership Homes as confidential information.

Having looked at the draft copy by Trowers & Hamlins LLP (attached) I can see no reason to not publish and see no public interest that supports withholding the information/

The draft copy of the Management Agreement you provided would have been one that was released and shared with the Tenants Panel at the time Northampton Borough Council were setting up the ALMO.  This document would not have been shared with anyone else and was for the purpose of sharing the stock options process with the Tenants Panel.

The final agreed document – which is reviewed and updated each year - is a protected document between Northampton Borough Council and Northampton Partnership Homes.  The full document contains among other things, appendices containing the pricing schedule, Tupe lists, personal employee information etc.  There is a considerable amount of information contained within the Agreement that is 1) personal information and 2) information provided in confidence, which is therefore exempt from publication.

To conclude, the public interest test does not support the publication of the Management Agreement.

The disclosure to you of the enclosed information does not give you a right to reproduce or publish such information without the express permission of Northampton Borough Council or any other owners of the copyright therein.  To do so you will need a licence under the ‘Reuse of Public Sector Information Regulations 2005’.

If you consider NPH has not provided the information you have requested you have the right to challenge that decision in respect of your information request within 6 months.
